1. Introduction
These Terms and Conditions govern the provision of consultancy services by Raintree Works (“we”, “us”, or “our”) to you (“the client”). By engaging our services, you agree to be bound by these Terms.
2. Regulatory Status and Consumer Protections
Raintree Works is not a law firm and not authorised or regulated by the Solicitors Regulation Authority (SRA). Neemah Ahamed is a qualified solicitor. She is currently non-practising and not acting as a solicitor in providing services through this business.
The services offered by Raintree Works are not legal services as defined under the Legal Services Act 2007. They do not include any reserved legal activities. They do not provide legal advice, legal representation, or claims management services.
All support and information offered through Raintree Works are for general guidance, educational, and reflective purposes only. They do not assist with the conduct or resolution of legal claims or disputes.
By engaging our services, you confirm that you understand and accept that:
- Raintree Works operates outside the regulation of the Solicitors Regulation Authority;
- Your organisation will not have access to protections available when instructing a regulated law firm, including recourse to the Legal Ombudsman, the SRA Compensation Fund, or oversight under the SRA Standards and Regulations; and
- Your organisation remains responsible for seeking independent legal advice from a regulated legal professional where required.
If there is uncertainty about whether legal advice or representation is required, Raintree Works recommends consulting a solicitor regulated by the SRA or another authorised legal services provider.
3. Scope of Services
Raintree Works provides consultancy services as outlined in our written agreements or proposals. Any changes to the agreed scope or terms must be confirmed in writing by both parties.
Raintree Works does not provide:
Legal advice, legal representation, or any reserved legal activity as defined under the Legal Services Act 2007;
Claims management services regulated under the Financial Services and Markets Act 2000, including identifying, advising on, investigating, or representing clients in relation to legal claims or potential claims.
Raintree Works’ services are designed for organisational learning, culture-building, and reflection. All support and materials are provided for general guidance and educational purposes only.
4. Fees and Payment
Fees will be agreed in writing, either as a fixed amount or based on a daily/hourly rate.
Invoices are payable within 14 days of the invoice date.
Raintree Works reserves the right to charge interest on overdue payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Client Responsibilities
Your organisation agrees to:
Provide timely, complete, and accurate information as needed for effective service delivery;
Cooperate reasonably with Raintree Works;
Make payments in accordance with agreed terms.
6. Confidentiality
Both parties agree to maintain the confidentiality of non-public, sensitive, or proprietary information, except where disclosure is required by law or with prior written consent.
7. Conflict of Interest
Raintree Works will take reasonable steps to avoid any conflict of interest. Where one arises, Raintree Works will inform you promptly and take appropriate action. As Raintree Works does not offer regulated legal services, formal conflict checks are not required under SRA rules.
8. Intellectual Property
All intellectual property created during the course of engagement remains Raintree Works’ property. Your organisation is granted a limited, non-transferable licence to use the materials or deliverables for internal purposes only, unless otherwise agreed in writing.
9. Data Protection and Privacy
Raintree Works takes privacy seriously and complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
By engaging with Raintree Works, your organisation agrees that its personal data may be processed for the purpose of providing services, managing the business relationship, and complying with legal obligations.
Raintree Works only collects and uses personal data that is necessary for delivering services and communications. It does not sell or misuse information.

10. Termination
Either party may terminate the engagement:
With 14 days’ written notice; or
Immediately, if the other party commits a material breach and fails to remedy it within 14 days of written notice.
11. Force Majeure
Raintree Works is not liable for delays or failure to perform resulting from causes beyond its reasonable control, including natural disasters, strikes, power outages, or technical failures.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
13. Entire Agreement
These Terms, together with any written proposal, agreement, and the Privacy Policy, form the entire understanding between the parties and supersede all prior communications. Where a specific written agreement is entered into between your organisation and Raintree Works, its terms shall take precedence over these general Terms and Conditions in the event of any conflict.
14. Website Use and Third-Party Links
Raintree Works’ website may contain links to external websites and third-party services. Raintree Works is not responsible for the content or privacy practices of any third parties. If a link is followed, it is recommended that the relevant privacy policies are reviewed before submitting any personal data.
Use of the Raintree Works’ website and its content is used at your organisation’s own risk. Raintree Works does not guarantee that the site will be error-free or uninterrupted.
